Not exactly. Here are the relevant parts from the Bylaws> Article V "Directors">Section 1:
On or before November 14 of each year, the President sH all appoint an Election Committee Chairperson, who sH all be a member of the Board of Directors. Said Chairperson sH all select persons to participate in the functions of the Election Committee, reporting the names of said persons to the Board Director.
The Election Committee sH all oversee the entire election process; including, but not limited to, public notices to the members of upcoming elections, obtaining and processing of petitions of candidates, mailing of absentee ballots, receipt and control of all ballots received (which sH all remain in the official ballot box until Election Day), counting of ballots and reporting the results of same at the annual meeting aforesaid. The Election Committee Chairperson sH all enlist additional persons to assist in mailing and distribution of ballots and any other clerical task and sH all inform the Board of Directors of the names of such persons.
The Election Committee Chairperson's main function is to form the Election Committee. That's pretty much it. From that point on, the Election Committee members do everything else related to the Election.
You are entirely right about the Election Committee Chairperson--or any Board Director--cannot have anything to do with ballots or the ballot box.
Importantly, the Election Committee is to receive and control all ballots received and should be the ONLY persons opening the Ballot Box. I would be speechless (hard for me) if this Board decided to actually obey our own Bylaws in this upcoming election.
What I don't understand is how a board member, C. J. , who was conspicuously absent from this meeting, was appointed as Election Committee Chairman?
Why is a board member--a director--mind you, is being given this position when the sitting board members should not be involved with anything to do with the election and the ballots and the ballot box?
