MINUTES
Special SLohA Board of Directors Meeting
Friday January 27, 2012
President, Kn Lws called the meeting to order at 9:10 a.m. in the Temporary Annex.
Roll Call: Bb Bear, Peet Brdun, D Brnd, Ed Clerk, Clf Jnsn, Kn Lws, Chrly Mnc, Alln Rss and Frns Sm all were present. Judie Far and Dick Clerk were also present.
Stmbug Ixx, Inc. -- Melonknee Kreeow was present.
Kn outlined the reasons for holding this special meeting. He also noted that residents were calling the County with complaints. This brings undue attention to the Resort and it was suggested that individuals not do this as these complaints have proven to be unfounded. A few individuals are causing consternation, making the Resort a less desirable place to live.
SOP #9 was recently revised and requires revision due to the number and complexity of requests for SLohA correspondence. This research is costly and the SOP #9 will be changed to reflect this. Kn presented a revision to reflect the new procedures. Bb Bear will make a motion at the next meeting that the new SOP be adopted.
The Executive members of the Board visited Robber Henderson last Sunday. He would like to buy or lease our property, across the lake, which is adjacent to his. He wants to build a house and clear out the underbrush. However, he is not interested in giving us a land right-of-way to our property. Kn will write a letter to Mr. Henderson that we are not interested in leasing or selling this property. It was mentioned that there is a study was done in the late 80s and that we have a legal right-of-way. It was stated that Bb Dealbolt had held a report delineating the property lines. A suggestion was made to obtain a survey and to put up Private Property Signs.
A discussion was held concerning a potential suit against the owner(s) and/or webmaster of the “Community Forum" and/or the “Newshound." This was due, in part, to allegations concerning the Manager and the Board of Directors. Someone has to take responsibility for what material appears on that site. A great deal of discussion followed by the Board and by the residents present. No firm decision about this situation was reached during the meeting.

Summary of Jan 27th Special/Emergency Meeting
Opening Remarks:
This Dog ‘n Pony Show was planned and "noticed" on the evening of 1/24 and about 50 people attended. The meeting started late-9:07am-and immediately Kn tried to excuse the “insufficient notice” status given and said they were late because they were meeting with a “lady lawyer” (what the lady descriptor has to do with it is anyone’s guess) at the office.
Claimed residents are calling county with complaints; the county is tired of it; they find unfounded complaint but when they come in you know they will find something in our park that is wrong.
Kn's Personal opinion-houses for sale; certain number of people are hurting our park-getting difficult to sell. His has been for sale for 4 years.
Copies taking hours to research for “old” history-paying someone to do all this-we have good auditor on a fishing expedition. Can’t ask why you want it you are allowed to have it—going to discuss raising amount for copies-Stmbug Ixx contract is going to be discussed in a month and he figures Stmbug Ixx is going to want more money because of the time required for all this extra work.
Robber Henderson would like to buy property; he also wanted to lease it. We can’t and don’t want to sell-Executive Committee looked it over, it is overgrown. Kn wanted to talk about this in open meeting.
We are gonna talk about the Untrue rumors (about the forum); we want to talk about it or maybe it will just go away
Ed Clerk will you discuss SOP#9? Toneesha mentioned $25/hr would be about right.
Peet asked only for archives for $25? Answer: Yes. (Author Note: No definition of archive but stated monthly financials are not archives). Kn said let’s back up and he took Standard #9 and read it.
Kn changed #4 line read reasonable charges at hourly rate from outside vendor (Stmbug Ixx). These costs to be $25/hour and will refund if takes less time though draft just for Kn, current repeat financials are a courtesy, if no research, will not charge any extra; if want invoices copy, more money, no copy just email well they have to scan it so takes more time. You can go to Winter Hayvn if you want, you are allowed to see it.
D: Said are we letting them look at something on (office) computer?
Kn: No- but you can bring your own computer.
Peet: we are not in my opinion not trying to punish anyone; just time consuming.
Kn read copy of MeNeely’s letter asking for all Kay c Networks stuff pertaining to SLohA; raised voice on “don’t want copies” he made big deal about what we pay to St aib. No contract between us and St aib, sharp in voice.
Peet: we own tower.
Kn: Was approached by Kn H all wants to donate some kind of radio and wondered if Bb would put in on. It is our tower will check on that later. Might be good idea, more research needed; said again, too many other issues we have more but won’t read it all.
Has lived here 20 years glad we are getting reports; very pleased with auditor; we should be too. On and on about how things are audited; he’s lost a $20 shopping at Walmart but that’s the way it is. Discussed what he and his brother wore, took executive BOD on Tuesday; make fun about walking the property. Peet laughed. He has beautiful property wants to clean 100’ of underbrush.
Kn says that won’t work-too many trees, he wants view of lake; he said Peet walked whole area; he must like to be alligator food and everyone giggled and then went on and on again about where property is and where you can see it from in SLR; it is a good chunk of land, said Peet asked what would we get out of this and He said “Nothing”. Peet didn’t want people on our property anyway. Audience agreed.
Jm FooDy spoke “didn't we have cows on property long ago”?
Audience said Yes.
Peet offered it to him for what we owed on the SBA loan. Neither of them want people on it. Kn isn’t arguing; Henderson said he didn't want anyone on it either but if we get an attorney to write it up, he will agree to our contingencies. He offered to pay attorney and lease ends when he dies but it would be written up that way. But we get nothing out of this. Someone who used be on the board said we (SLohA) did have a right of way on that property; paperwork somewhere; he gave it to Gnny Lwl's husband and I don't know what happened to it. Someone said it should be on record with the county and we should check.

Bear he doesn’t have access. He mentioned about what on the website (K’s remark) about M. e. l.’s sexual life (few laughed). Bear said that's not funny.
Kn said they have funds to pursue this. He has printed out on host who owns it and who pays for all this; he said if we pursue, the Texas company will bill owner. Kn wants this to go away. He said don’t ban anyone; let everyone have access.
Ed Clerk say not informative-just trash; he doesn’t know why he was taken off, wants it shut down.
Kn they have the right to keep it; he says you put your self out there when you run for the board, didn’t like it when M. e. l. was mentioned.
Jnsn wants everyone to write good things and flood it.
Kn: Biggest problem that there are not enough people here and they just gossip and all they talk about is not voting on budget; influence is his concern.
Peet and Jnsn said I don’t read it.
Judie Far: The NewsHound is access, forum is not. Judie got banned; she asked why and they told me I should think about my behavior. She will put her money for a lawsuit she has been furious about that forum ever since, that forum is ruining the park.
Hannon: have our attorney send a letter first; lawsuit to follow.
Kn said we can do that without M. e. l.’s voice.
Alln deleted the email he got a copy was called names I wouldn't let my wife hear. He was not happy about it.

Resident said filing suit brings this out in public, said attorney should review not threaten.
Kn said we have to file to get all records.
Resident said we didn’t need all records, just let them know they are damaging our property. Resident said he has sued and been sued and you get nowhere; you do not want to get involved it is too long and depressing. All you BOD are just like politicians-truth always comes out. Resident said this is like Cyberbullying? This is bad; a lot of leaders pulling the people around and someone is going door to door, I have faith in BOD but no suggestions on what do do. Someone said maybe they will go away.

Kn said I can’t get on seemed worried about the 100+ worried about spreading lies, come talk to Kn. He doesn’t have anyone come to him.
